Terms of Service

These Terms of Service ("Terms") govern your access to and use of Portaz, a transportation and logistics management platform operated by Ziac Software ("Ziac Software", "Ziac", "we", "us", or "our").

Portaz includes the Portaz website, web application, mobile applications, APIs, integrations, software services, and related features and services made available by Ziac Software (collectively, the "Services").

By registering for, accessing, or using Portaz, you agree to be bound by these Terms. If you are using Portaz on behalf of a company, organization, partnership, or other legal entity, you represent that you are authorized to accept these Terms on its behalf, and "you" or "Customer" will refer to that entity.

If you do not agree to these Terms, you must not access or use the Services.

1. About Portaz

Portaz is a transportation and logistics management platform designed to help organizations manage and monitor their transportation operations.

Depending on the services subscribed to or enabled, Portaz may provide functionality including:

  • Organization and branch management
  • Customer and vendor management
  • Driver and vehicle management
  • Trip and consignment management
  • Lorry Receipts and electronic Lorry Receipts
  • Proof of Delivery and electronic Proof of Delivery
  • Document management
  • Fleet and operational management
  • Billing and transaction-related functionality
  • Driver, agent, and transporter management
  • GPS and vehicle tracking through supported integrations
  • Reports and operational information
  • Mobile applications
  • APIs and third-party integrations
  • Other transportation and business management features introduced from time to time

Specific features available to a Customer may depend on the subscription plan, configuration, integrations, or commercial agreement between the Customer and Ziac Software.

2. Eligibility and Business Use

Portaz is intended primarily for business and professional use.

By using the Services, you represent that:

  • You are legally capable of entering into a binding agreement;
  • You have authority to accept these Terms;
  • The information provided during registration is accurate and complete;
  • You will use the Services for legitimate business purposes; and
  • Your use of Portaz will comply with applicable laws and regulations.

Where an individual accesses Portaz through an organization, the organization may control the individual's access and use of the Services.

3. Account Registration

Certain Portaz features require registration and an account.

You agree to provide accurate and current information when creating an account and to keep such information updated.

You are responsible for:

  • Maintaining the confidentiality of login credentials;
  • Protecting passwords, OTPs, authentication information, and other account credentials;
  • Restricting unauthorized access to your account;
  • Ensuring that users accessing the account are authorized; and
  • Notifying Ziac Software promptly if you believe your account has been compromised.

You must not share login credentials in a manner that permits unauthorized persons to access the Services.

Where an account is created or managed by an organization, the organization's authorized administrators may create, modify, suspend, or remove users and assign roles and permissions.

4. Organization Accounts and Authorized Users

Portaz allows organizations to create accounts and provide access to employees, drivers, agents, customers, administrators, or other authorized persons.

The Customer is responsible for:

  • Determining who may access its Portaz account;
  • Assigning appropriate roles and permissions;
  • Ensuring that users are authorized;
  • Removing access when a user no longer requires it;
  • Ensuring that users comply with these Terms; and
  • Maintaining appropriate internal controls over account access.

Actions performed through an authorized user account may be attributed to the relevant Customer or user, subject to applicable law.

Ziac Software is not responsible for unauthorized activity resulting from the Customer's failure to appropriately manage credentials, permissions, or user access.

5. Customer Data

For purposes of these Terms, "Customer Data" means information, records, documents, files, personal data, business data, transportation records, and other information submitted, uploaded, transmitted, or generated by or on behalf of the Customer through the Services.

Customer Data may include:

  • Driver and employee information;
  • Customer and consignee information;
  • Vehicle information;
  • Trip and consignment information;
  • Lorry Receipts;
  • Proof of Delivery;
  • Invoices;
  • Compliance documents;
  • Payment and settlement information;
  • GPS or telematics information received through integrations; and
  • Other business records entered into Portaz.

The Customer retains its rights in Customer Data, subject to the rights necessary for Ziac Software to provide the Services.

The Customer is responsible for ensuring that it has the necessary rights, authority, permissions, notices, consents, or other lawful basis required to collect, use, upload, and process Customer Data through Portaz.

6. Customer Responsibility for Uploaded Information and Documents

The Customer is responsible for the information and documents it uploads, creates, or maintains through Portaz.

The Customer must ensure that:

  • Information submitted is accurate to the extent required for its intended use;
  • It has the right or authority to upload and process the information;
  • Documents are used for legitimate business purposes;
  • Personal information is handled in accordance with applicable law;
  • Users are provided appropriate access;
  • Sensitive information is not unnecessarily uploaded; and
  • Customer Data does not knowingly contain unlawful, fraudulent, infringing, or malicious material.

Ziac Software provides the technical infrastructure and Services through which such information may be stored and processed.

Nothing in these Terms transfers ownership of Customer Data to Ziac Software.

7. GPS, Location and Telematics Integrations

Portaz may support GPS and vehicle tracking through third-party GPS, telematics, or other supported integrations.

Portaz does not manufacture, supply, or install GPS tracking hardware.

Where a Customer enables a GPS or telematics integration, information received from the connected system may be displayed or processed through Portaz.

The Customer acknowledges that:

  • GPS information depends on the connected provider and equipment;
  • Location accuracy may vary;
  • Network availability may affect tracking;
  • Third-party systems may experience interruptions;
  • Portaz may not control the underlying hardware or external tracking system; and
  • The Customer is responsible for ensuring that tracking is used lawfully and with appropriate authorization.

Ziac Software is not responsible for inaccuracies, interruptions, failures, or limitations originating from third-party GPS, telematics, network, or hardware systems.

8. Third-Party Integrations and Services

Portaz may integrate with third-party services, including:

  • GPS and telematics providers;
  • Mapping services;
  • Payment gateways;
  • Firebase and mobile application services;
  • SMS and OTP providers;
  • Email and communication services;
  • ERP and accounting systems;
  • Cloud or infrastructure services; and
  • Other services supported by Portaz.

Third-party integrations may require information to be transmitted between Portaz and the relevant third-party service.

Your use of a third-party service may also be subject to that provider's terms and privacy policies.

Ziac Software is not responsible for the independent operation, availability, security, accuracy, or policies of third-party services that are outside Ziac Software's reasonable control.

9. Portaz APIs

Where APIs are provided, they may be used only for legitimate purposes and in accordance with applicable technical documentation, usage limits, and instructions provided by Ziac Software.

You must not:

  • Attempt to gain unauthorized access to APIs;
  • Circumvent authentication or access controls;
  • Use APIs to interfere with Portaz;
  • Excessively or abusively consume system resources;
  • Reverse engineer API authentication or security mechanisms;
  • Use APIs to collect information beyond your authorized access; or
  • Use APIs for unlawful or unauthorized purposes.

Ziac Software may modify, limit, suspend, or discontinue API access where reasonably necessary for security, performance, maintenance, or other legitimate operational reasons.

10. Acceptable Use

You agree to use Portaz only for lawful and authorized purposes.

You must not use the Services to:

  • Violate any applicable law or regulation;
  • Infringe intellectual property, privacy, or other rights of another person;
  • Upload malicious software, viruses, or harmful code;
  • Attempt to gain unauthorized access to Portaz or another user's account;
  • Circumvent security or authentication mechanisms;
  • Interfere with the availability or operation of Portaz;
  • Conduct fraudulent or deceptive activities;
  • Use Portaz to transmit unlawful, threatening, defamatory, or abusive material;
  • Upload data that you do not have the right or authority to process;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of Portaz except where expressly permitted by applicable law;
  • Copy, reproduce, resell, lease, sublicense, or commercially exploit Portaz except as expressly permitted by Ziac Software;
  • Use automated means to access Portaz in a manner that places unreasonable load on the Services; or
  • Use the Services in a manner that could reasonably damage, disable, overburden, or impair Portaz or other users' access.

Ziac Software may take reasonable action, including suspension or termination, where it reasonably believes that these Terms have been violated.

11. Subscription and Fees

Access to certain Portaz Services may require payment of subscription or other applicable fees.

The applicable pricing, subscription period, user limits, feature availability, taxes, and payment terms will be communicated through the relevant quotation, order, invoice, subscription plan, agreement, or other commercial document issued by Ziac Software.

Unless otherwise agreed:

  • Fees are payable to Ziac Software;
  • Applicable taxes may be charged in addition to stated prices;
  • Customers are responsible for providing accurate billing information;
  • Subscription fees must be paid within the applicable payment period; and
  • Ziac Software may restrict access to paid features where applicable fees remain unpaid.

A Customer's continued use of a paid Service after renewal may be subject to the then-current applicable commercial terms unless otherwise agreed in writing.

12. Payment Processing

Payments may be processed directly by Ziac Software or through a third-party payment gateway.

Where a payment gateway is used, payment processing may also be subject to the gateway's terms and policies.

Ziac Software may maintain payment, invoice, transaction, refund, and billing records for accounting, taxation, audit, customer support, dispute resolution, and legal purposes.

13. Refund and Cancellation

Unless a separate written agreement, quotation, subscription order, or commercial policy provides otherwise, cancellation and refund eligibility will be governed by the refund and cancellation terms communicated for the relevant Portaz subscription or purchase.

Where a refund is approved, the applicable amount will be processed using the applicable payment method or payment channel, subject to the payment provider's processing timelines.

Ziac Software may refuse refunds where the request arises from misuse, violation of these Terms, unauthorized use, or other circumstances specified in the applicable commercial terms.

14. Service Availability

Ziac Software will make reasonable efforts to keep Portaz available and operational.

However, uninterrupted availability cannot be guaranteed.

Portaz may occasionally be unavailable or restricted because of:

  • Scheduled maintenance;
  • Emergency maintenance;
  • Software updates;
  • Infrastructure issues;
  • Network failures;
  • Third-party service interruptions;
  • Cybersecurity incidents;
  • Force majeure events;
  • Internet or telecommunications failures; or
  • Other circumstances outside Ziac Software's reasonable control.

Where reasonably practical, we may provide notice of planned maintenance or significant service interruptions.

15. Changes to Portaz Services

Ziac Software may modify, improve, add, remove, or discontinue features of Portaz from time to time.

Changes may be made to:

  • Improve functionality;
  • Address security or technical requirements;
  • Comply with applicable law;
  • Improve performance;
  • Respond to technology changes;
  • Support new integrations; or
  • Meet changing business requirements or otherwise.

Where a material change substantially affects a paid Service, Ziac Software may provide reasonable notice where appropriate.

16. Data Backup and Business Records

Portaz may maintain backups as part of its infrastructure and business continuity processes.

However, Customers remain responsible for maintaining copies of business records where they are legally, operationally, or commercially required to do so.

Ziac Software does not guarantee that every item of Customer Data can be restored following every possible failure, corruption, deletion, security incident, or third-party infrastructure event.

Customers should maintain appropriate independent records of critical business information.

17. Intellectual Property

Portaz, including its software, application architecture, source code, object code, interfaces, designs, workflows, graphics, logos, trademarks, documentation, and other proprietary materials, is owned by or licensed to Ziac Software and is protected by applicable intellectual property laws.

These Terms do not transfer ownership of Portaz or any Ziac Software intellectual property to the Customer.

Subject to these Terms and payment of applicable fees, Ziac Software grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the applicable subscription period for the Customer's internal business purposes.

The Customer must not copy, modify, distribute, sell, sublicense, reverse engineer, or create derivative works from Portaz except where expressly permitted by Ziac Software or applicable law.

18. Customer Data and Feedback

Nothing in these Terms gives Ziac Software ownership of Customer Data.

The Customer grants Ziac Software the limited rights necessary to host, store, transmit, reproduce, process, display, and otherwise handle Customer Data solely as reasonably required to provide, maintain, secure, and support the Services and as otherwise permitted by these Terms or applicable law.

If you provide suggestions, feedback, ideas, or recommendations regarding Portaz, you grant Ziac Software the right to use such feedback without restriction or compensation, provided that such use does not disclose your confidential information or Customer Data.

19. Confidentiality

Each party may receive confidential information from the other in connection with the Services.

The receiving party agrees to:

  • Use confidential information only for purposes connected with the relationship;
  • Protect it using reasonable measures; and
  • Not disclose it to unauthorized persons except where required by law or necessary for legitimate service delivery.

Information that is publicly available, independently developed, lawfully obtained from another source, or required to be disclosed by law will generally not be treated as confidential information for these purposes.

Where a separate confidentiality or non-disclosure agreement exists, that agreement will apply according to its terms.

20. Privacy and Data Protection

Use of Portaz is also subject to the Portaz Privacy Policy and Portaz Data Policy.

Those policies explain how information and personal data may be collected, used, stored, shared, and protected.

Where Ziac Software processes personal data on behalf of a Customer organization, the parties' respective responsibilities will depend on the nature of the processing and applicable law.

The Customer remains responsible for ensuring that its instructions and use of the Services comply with applicable data protection and privacy requirements.

Ziac Software will process Customer Data in accordance with applicable agreements, its stated policies, and applicable law.

21. Suspension of Access

Ziac Software may temporarily suspend access to all or part of the Services where reasonably necessary to:

  • Protect the security of Portaz;
  • Prevent unauthorized access;
  • Address misuse;
  • Investigate suspected violations;
  • Protect other customers or users;
  • Comply with legal requirements;
  • Address unpaid amounts; or
  • Prevent harm to Ziac Software, its infrastructure, or other users.

Where reasonably practical and legally permitted, Ziac Software may provide notice before or after suspension depending on the circumstances.

22. Termination

A Customer may terminate its use of Portaz in accordance with the applicable subscription or commercial agreement.

Ziac Software may terminate or suspend Services where:

  • The Customer materially breaches these Terms;
  • Fees remain unpaid;
  • The Customer uses Portaz for unlawful purposes;
  • The Customer compromises the security of the Services;
  • Continued use creates a material security, legal, or operational risk; or
  • Termination is otherwise permitted under the applicable agreement.

Upon termination, access to Portaz may be disabled.

Subject to applicable law, contractual obligations, and retention requirements, Customer Data may subsequently be deleted, anonymized, or securely disposed of in accordance with the applicable data retention practices.

23. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Portaz is provided on an "as available" and "as is" basis.

Ziac Software does not guarantee that:

  • Portaz will always be available without interruption;
  • Portaz will be completely error-free;
  • Every feature will meet every particular business requirement;
  • Information obtained through third-party integrations will always be accurate;
  • GPS or telematics information will always be available or accurate;
  • Third-party services will remain available; or
  • The Services will be completely free from security vulnerabilities.

Customers are responsible for evaluating whether Portaz is suitable for their particular operational, legal, accounting, transportation, or business requirements.

Nothing in these Terms excludes any warranty or protection that cannot lawfully be excluded under applicable law.

24. Third-Party Information and Services

Portaz may display or process information received from third-party systems.

Ziac Software does not independently guarantee the accuracy, completeness, timeliness, or availability of information originating from third-party systems.

This may include information relating to:

  • GPS location;
  • Vehicle tracking;
  • Maps;
  • Payment status;
  • Communication delivery;
  • External ERP or accounting systems; or
  • Other connected services.

The Customer is responsible for verifying critical business information where required.

25. Limitation of Liability

To the maximum extent permitted by applicable law, Ziac Software will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, or anticipated savings arising from or relating to the use of or inability to use Portaz.

Ziac Software will not be responsible for losses resulting primarily from:

  • Customer misuse of the Services;
  • Unauthorized access caused by compromised Customer credentials;
  • Incorrect or incomplete Customer Data;
  • Customer's failure to maintain appropriate records;
  • Third-party systems or integrations;
  • GPS hardware, telematics equipment, or network failures;
  • Internet or telecommunications failures;
  • Events outside Ziac Software's reasonable control; or
  • Customer's violation of applicable law or these Terms.

To the maximum extent permitted by applicable law, the aggregate liability of Ziac Software arising out of or relating to the Services will be limited to the fees actually paid by the Customer to Ziac Software for the relevant Portaz Services during the 12 months immediately preceding the event giving rise to the claim.

This limitation will not apply to liability that cannot legally be limited or excluded under applicable law.

26. Indemnification

To the extent permitted by applicable law, the Customer agrees to indemnify and hold harmless Ziac Software, its directors, employees, officers, affiliates, and service providers from claims, losses, liabilities, damages, and reasonable costs arising from:

  • The Customer's violation of these Terms;
  • Unauthorized or unlawful use of Portaz;
  • Customer Data that infringes another person's rights;
  • The Customer's failure to obtain required authority, consent, or lawful basis;
  • Misuse of third-party integrations;
  • Fraudulent or unlawful activity conducted through the Customer's account; or
  • Claims arising from the Customer's business operations or instructions to Ziac Software.

This section does not apply to the extent a claim results from Ziac Software's own breach of applicable law or contractual obligations.

27. Force Majeure

Ziac Software will not be responsible for delay or failure to perform obligations caused by circumstances beyond its reasonable control.

Such circumstances may include:

  • Natural disasters;
  • Fire, flood, earthquake, or other natural events;
  • War, civil unrest, or terrorism;
  • Government action or restrictions;
  • Internet or telecommunications failures;
  • Major infrastructure failures;
  • Cybersecurity incidents;
  • Epidemics or pandemics;
  • Power failures;
  • Third-party service failures; or
  • Other events beyond reasonable control.

The affected party will take reasonable steps to minimize the impact where practicable.

28. Links to Third-Party Websites

Portaz may contain links to websites or services operated by third parties.

Such links are provided for convenience and do not constitute an endorsement by Ziac Software.

Ziac Software does not control and is not responsible for the content, security, availability, privacy practices, or terms of third-party websites.

29. Intellectual Property Infringement

If you believe that material available through Portaz infringes your intellectual property rights, you may contact Ziac Software with sufficient information to identify:

  • The material concerned;
  • The intellectual property right allegedly infringed;
  • Evidence of ownership or authorization;
  • The location of the relevant material; and
  • Your contact information.

Ziac Software may investigate and take appropriate action where reasonably required.

30. Governing Law and Jurisdiction

These Terms will be governed by and interpreted in accordance with the laws of India.

Subject to any mandatory dispute-resolution requirements under applicable law, courts having jurisdiction in Bengaluru, Karnataka, India will have jurisdiction over disputes arising out of or relating to these Terms or the Services.

Where the parties have entered into a separate written agreement containing dispute-resolution or arbitration provisions, those provisions will apply to the extent applicable.

31. Changes to These Terms

Ziac Software may update these Terms from time to time to reflect:

  • Changes to Portaz Services;
  • Changes in technology;
  • Changes in business practices;
  • Changes in applicable laws or regulations;
  • New features or integrations; or
  • Security and operational requirements.

The updated version will be published on the Portaz website with a revised "Last Updated" date.

Where required by applicable law or where a change is materially adverse, Ziac Software may provide additional notice through the Services, email, or another appropriate method.

Your continued use of Portaz after the effective date of revised Terms constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

32. Entire Agreement

These Terms, together with the applicable subscription/order documents, commercial terms, Privacy Policy, Data Policy, and any other agreements expressly incorporated by reference, constitute the agreement governing your use of Portaz.

If there is a conflict between these Terms and a separate written agreement signed between the Customer and Ziac Software, the signed agreement will prevail to the extent of the conflict.

33. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be interpreted to the maximum extent permitted by law, and the remaining provisions will continue to remain in effect.

34. No Waiver

Failure by Ziac Software to enforce any provision of these Terms will not constitute a waiver of its right to enforce that provision or any other provision in the future.

35. Assignment

The Customer may not transfer or assign its rights or obligations under these Terms without the prior written consent of Ziac Software, except where permitted under applicable law.

Ziac Software may assign or transfer these Terms as part of a merger, restructuring, acquisition, sale of assets, or transfer of the relevant business, subject to applicable law.

36. Notices and Communications

Ziac Software may communicate with Customers through:

  • Registered email addresses;
  • Portaz notifications;
  • In-application notices;
  • SMS or OTP messages;
  • Telephone communication; or
  • Other contact details provided by the Customer.

Customers are responsible for keeping their contact and billing information current.
